Terms of Service

These Terms of Service ("Terms") govern your access to and use of GOAT OS, a cloud-based gym and studio management platform operated by [COMPANY LEGAL NAME] ("GOAT OS," "we," "us," or "our"). By creating an account or using the service, you ("Gym Owner," "you," or "your") agree to be bound by these Terms.

1. Acceptance of Terms

By signing up for, accessing, or using GOAT OS in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use GOAT OS. Your continued use of the platform after any modification to these Terms constitutes acceptance of the revised Terms.

2. Description of Service

GOAT OS is a cloud-based gym and studio management platform that provides tools including, but not limited to:

  • Class scheduling and enrollment management
  • Student and family records management
  • Billing and payment processing
  • SMS and email communications with members
  • A parent-facing web portal (PWA)
  • Attendance tracking and check-in tools
  • Lead management and automated follow-up sequences
  • Skills tracking and progress reporting

GOAT OS reserves the right to modify, add, or remove features at any time. We will provide reasonable notice of changes that materially affect your use of the service.

3. Account Responsibilities

You must be at least 18 years of age to create an account. By registering, you represent and warrant that you are 18 or older and have the legal authority to enter into these Terms.

You are solely responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account, whether authorized by you or not
  • Ensuring that all users you invite to your account (staff, coaches, front desk) comply with these Terms
  • Promptly notifying GOAT OS at legal@[COMPANY DOMAIN] if you suspect unauthorized access to your account

GOAT OS is not liable for any loss or damage arising from your failure to maintain account security.

4. Subscription & Payment

Access to GOAT OS requires a paid subscription after any applicable free trial period. Subscription fees are based on the tier selected at signup and are billed monthly in advance.

  • Billing: Fees are billed in advance at the beginning of each billing cycle. Charges are processed via Stripe.
  • Refunds: All fees are non-refundable except during the first 30 days of a new subscription. After 30 days, no refunds will be issued for any reason, including partial-month cancellations.
  • Failed payments: If payment fails, we will notify you via email. You have a 14-day grace period to update your payment method. If payment is not received within the grace period, your account may be suspended and access to the platform restricted until the balance is resolved.
  • Plan changes: You may upgrade or downgrade your plan at any time. Upgrades take effect immediately and are prorated. Downgrades take effect at the start of the next billing cycle.
  • Price changes: GOAT OS may modify subscription pricing with 30 days written notice. Continued use after the notice period constitutes acceptance of the new pricing.

5. Data Ownership & Responsibility

Your data belongs to you. You retain full ownership of all data you input into GOAT OS, including family records, student information, class data, billing records, and communications. GOAT OS acts as a data processor on your behalf.

You, as the Gym Owner, are solely responsible for:

  • Obtaining all necessary consents from your members and their parents or guardians before collecting and processing their personal information through the platform
  • Compliance with the Children's Online Privacy Protection Act (COPPA) with respect to any data you collect from or about children under 13
  • Compliance with HIPAA and any other healthcare privacy laws if you collect health or medical information from members
  • Compliance with all federal, state, and local laws governing the collection, storage, and use of your members' personal data
  • Ensuring your use of GOAT OS's communication features complies with applicable privacy and anti-spam laws

GOAT OS does not sell your data or your members' data to third parties. We process your data only as necessary to operate and improve the platform, as described in our Privacy Policy.

6. Acceptable Use

You agree not to use GOAT OS to:

  • Send unsolicited commercial messages (spam) via email or SMS
  • Violate the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, or applicable carrier messaging regulations
  • Transmit unlawful, harassing, defamatory, obscene, or otherwise objectionable content
  • Infringe any intellectual property rights of any third party
  • Attempt to gain unauthorized access to any portion of the platform or its related systems
  • Use the platform to engage in any activity that violates applicable law
  • Reverse-engineer, decompile, or disassemble any part of the platform
  • Resell or sublicense access to GOAT OS without written authorization

GOAT OS reserves the right to suspend or terminate any account found to be in violation of this Acceptable Use policy, with or without prior notice.

7. Communication Features

GOAT OS provides tools that allow you to send SMS and email communications to your members, families, and leads. You acknowledge and agree that:

  • You are solely responsible for all communications sent through the platform to your members and their families
  • GOAT OS is a conduit and technology provider only — we are not the sender of your communications and bear no responsibility for their content or legality
  • You must obtain proper opt-in consent from all recipients before sending SMS messages, as required by the TCPA and applicable carrier regulations
  • You must provide a clear and easy opt-out mechanism in all marketing messages
  • You are responsible for maintaining records of recipient consent
  • You will not use communication features to send content that violates any applicable law or carrier policy

GOAT OS may suspend communication features for any account found to be in violation of messaging laws or carrier policies, including accounts flagged for high spam complaint rates.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOAT OS AND [COMPANY LEGAL NAME], ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or data corruption
  • Loss of goodwill
  • Business interruption
  • Any damages arising from your reliance on the platform for legal or regulatory compliance

GOAT OS's total aggregate liability to you for any claim arising out of or relating to these Terms or your use of the platform shall not exceed the total fees paid by you to GOAT OS in the twelve (12) months immediately preceding the event giving rise to the claim.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. GOAT OS DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Indemnification

You agree to defend, indemnify, and hold harmless GOAT OS, [COMPANY LEGAL NAME], and their respective officers, directors, employees, contractors, agents, successors, and assigns from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of GOAT OS or any activity conducted under your account
  • Any communications you send to your members or leads through the platform
  • Your violation of these Terms
  • Your violation of any applicable law, including data privacy laws, COPPA, HIPAA, TCPA, or anti-spam regulations
  • Any claim by a third party (including your members, their families, or regulatory authorities) arising from your use of the platform
  • Your infringement of any third-party intellectual property rights

10. Service Availability

GOAT OS will use commercially reasonable efforts to maintain platform availability. However, we do not guarantee any specific uptime or service level and are not liable for downtime, service interruptions, or data unavailability caused by:

  • Scheduled or unscheduled maintenance
  • Internet or telecommunications failures outside our control
  • Third-party service outages (including Supabase, Stripe, Twilio, or Resend)
  • Force majeure events, including natural disasters, acts of government, or pandemics
  • Cyberattacks or security incidents beyond our reasonable control

We will endeavor to provide advance notice of planned maintenance windows via email or in-app notification where practical.

11. Termination

Termination by you: You may cancel your subscription at any time by providing 30 days written notice via the account settings or by emailing legal@[COMPANY DOMAIN]. Cancellation takes effect at the end of the current billing cycle. No refunds are issued for the remainder of a billing period.

Termination by GOAT OS: GOAT OS may terminate or suspend your account:

  • With 30 days notice, for any reason or no reason
  • Immediately, without notice, for material violation of these Terms, illegal activity, non-payment, or actions that pose a risk to the platform or other users

Data export: Upon termination, you may export your data within 30 days of the termination date. After 30 days, GOAT OS may permanently delete your account data with no obligation to retain or restore it.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of GOAT OS shall be resolved exclusively through binding individual arbitration administered under the rules of the American Arbitration Association (AAA). You waive any right to participate in a class action lawsuit or class-wide arbitration.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending resolution of the arbitration.

13. Changes to These Terms

GOAT OS reserves the right to update or modify these Terms at any time. We will provide at least 30 days advance notice of material changes via email to the address on file for your account. The updated Terms will also be posted at this URL with a revised "Last updated" date. Your continued use of GOAT OS after the effective date of any changes constitutes your acceptance of the revised Terms.
